Terms of service

Last updated July 16, 2026

TermsPrivacyCookies

These terms govern your use of Gem0, a headless content management service available at gem0.dev, app.gem0.dev and api.gem0.dev (the "Service"). The Service is operated by [COMPANY LEGAL NAME], registered at [REGISTERED ADDRESS] under company number [COMPANY REGISTRATION NUMBER] ("we", "us"). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of a company, you confirm that you are authorised to bind that company, and "you" refers to the company.

1. The service

Gem0 lets you define content schemas, store and manage content, and read that content through a generated API and typed client SDK. We may add, change or remove features over time. Where a change materially reduces the core functionality you pay for, we will give you reasonable advance notice.

2. Accounts and eligibility

You must be at least 18 years old and able to enter into a binding contract. The Service is intended for business use. You are responsible for keeping your login credentials and API keys confidential, and for all activity under your account, including activity by team members you invite. Tell us promptly at [CONTACT EMAIL] if you suspect unauthorised access.

You must provide accurate account information and keep it up to date. We may refuse, suspend or reclaim account names that infringe third-party rights or are misleading.

3. Plans, billing and payment

The Service is offered on a free tier and on paid subscription plans, as described on our pricing page. Paid plans are billed in advance on a recurring basis (monthly, or annually where offered) through our payment provider, Stripe. By subscribing you authorise us and Stripe to charge your payment method for the recurring subscription fee and any usage-based charges that apply to your plan (for example, additional projects).

  • Upgrades take effect immediately. The price difference for the remainder of the current billing period is charged pro rata.
  • Downgrades take effect at the start of the next billing period. If your usage exceeds the limits of the lower plan, you must reduce usage before the downgrade can apply.
  • Cancellation can be done at any time from the dashboard. Your plan remains active until the end of the current billing period. Except where required by law, fees already paid are not refunded.

Prices exclude VAT and other applicable taxes, which are added where required. We may change prices with at least 30 days' notice before the change applies to your next billing period. If you do not accept a price change, you may cancel before it takes effect. If a payment fails, we may retry it and notify you; if payment remains outstanding, we may downgrade or suspend the affected account after notice.

4. Your content

You keep full ownership of the content, schemas, assets and other data you store in the Service ("Customer Content"). We claim no ownership of it. You grant us a limited licence to host, store, process, back up, transmit and display Customer Content solely as needed to provide the Service and as instructed by you. This licence ends when the content is deleted from the Service, subject to backup retention described in our privacy policy.

You are responsible for Customer Content, including having the rights needed to store and publish it. If your projects collect personal data from end users, you are the controller of that data and we act as your processor under the applicable data processing terms.

5. Acceptable use

You may not use the Service to:

  • store or distribute content that is illegal, infringes intellectual property rights, or violates the privacy of others;
  • distribute malware, phishing pages or other harmful material;
  • send spam or run unsolicited bulk messaging operations;
  • probe, scan or test the vulnerability of the Service without our written permission, or interfere with its operation;
  • resell or provide access to the Service to third parties as a standalone offering, outside the multi-project use the plans are designed for;
  • circumvent plan limits, metering or access controls.

We may remove content or suspend accounts that violate this section. Where reasonable, we will notify you and give you a chance to remedy the issue first.

6. API use and rate limits

API access is subject to the request, document, seat, locale and storage limits of your plan, and to fair-use rate limits that protect the platform from abuse. We may throttle or temporarily block traffic that exceeds those limits or that degrades the Service for others. Current limits are listed on the pricing page and in the documentation. API keys are issued per project; you are responsible for keeping them secret and rotating them if they leak.

7. Availability and support

We aim to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation unless you have an Enterprise plan with a written SLA. We may perform maintenance, and where possible we will schedule disruptive maintenance outside peak hours and announce it in advance. The Service is provided "as is" and "as available", without warranties of any kind to the extent permitted by law.

8. Our intellectual property

We and our licensors own the Service, including its software, generated SDK code templates, design and documentation. These terms do not grant you any rights in the Service other than the right to use it as described here. Generated client code (such as your gemRouter.ts) may be used freely in your own projects.

9. Liability

To the extent permitted by law, our total aggregate liability arising out of or related to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or 100 euro if you are on the free tier. We are not liable for indirect or consequential damages, loss of profits, loss of data (beyond our backup obligations), or business interruption.

Nothing in these terms limits liability for intent, gross negligence, death or personal injury, or any other liability that cannot be limited under applicable law.

10. Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your account if you materially breach these terms and do not remedy the breach within 14 days of notice, if suspension is needed to protect the Service or other customers, or if we are required to do so by law. We may also terminate free accounts that have been inactive for more than 12 months, with at least 30 days' notice.

After termination you have 30 days to export your Customer Content through the API or an export we provide, after which we delete it in line with our retention policy. Sections that by their nature should survive termination (including ownership, liability and payment obligations) survive.

11. Changes to these terms

We may update these terms from time to time. For material changes we will notify you by email or in the dashboard at least 30 days before they take effect. If you continue using the Service after the effective date, the updated terms apply. If you do not agree, you may cancel before that date.

12. Governing law and disputes

These terms are governed by the laws of Belgium, without regard to conflict-of-law rules. Disputes will be brought before the courts of the registered seat of [COMPANY LEGAL NAME], unless mandatory consumer law provides otherwise. Nothing in this section deprives you of protections you have under mandatory law in your country of residence.

13. Contact

Questions about these terms: [CONTACT EMAIL], or by post to [COMPANY LEGAL NAME], [REGISTERED ADDRESS].
